1. About these Terms of Service
These terms of service (the "Terms") govern the relationship between CleanFlow AS ("CleanFlow", "we", "us") and the customer ("Customer", "you") in connection with use of the CleanFlow platform (the "System").
By entering into an agreement to use the System, the Customer accepts these Terms. The Terms apply to all subscriptions and services delivered by CleanFlow.
Processing of personal data is additionally governed by the Data Processing Agreement, which forms an integral part of the contractual relationship.
2. The System and the services
CleanFlow is a cloud-based management system for planning, documentation and management of cleaning operations. The System includes functionality for task scheduling, time tracking, deviation management, quality inspections, training administration and reporting.
CleanFlow reserves the right to further develop, change or discontinue individual features. Material changes that negatively affect the Customer's use are notified with at least 30 days' advance notice.
3. Formation of the agreement and users
The agreement is deemed entered into when the Customer has confirmed the order and payment has been registered, or upon written order confirmation.
The Customer is responsible for all users created under the Customer's account ("Users"). The Customer shall ensure that Users are aware of and comply with these Terms and the Data Processing Agreement.
User access is personal and must not be shared with others.
4. Subscription and payment
4.1 Subscription period
The subscription runs either:
- Monthly: Continuous from the activation date, invoiced monthly
- Annually: 12 months from the activation date, invoiced at the start of the period
4.2 Prices
Current prices are shown on cleanflow.no or in a separate offer. CleanFlow may change prices with 60 days' written notice. Price changes take effect at the next renewal period.
4.3 Invoicing and payment
Invoices are sent to the specified billing address and are due 14 days after the invoice date. Late payment accrues interest under the Norwegian Late Payment Interest Act.
If overdue invoices are not paid within 14 days of a reminder, CleanFlow may suspend access to the System. The Customer is notified in writing before suspension. Suspension does not relieve the Customer of the obligation to pay.
If outstanding amounts are not paid within 30 days of suspension, CleanFlow may terminate the Agreement with immediate effect.
4.4 Trial period
Where CleanFlow offers a free trial period, this applies for the specified period. At the end of the trial period, the subscription converts to a paid plan unless the Customer actively cancels before expiry.
5. Term and termination of the agreement
5.1 Monthly subscription
The notice period is 3 months, calculated from the first day of the month following receipt of the termination notice. Termination must be given in writing to support@cleanflow.no.
5.2 Annual subscription
The agreement renews automatically for one further period unless termination is received at least 3 months before the end of the period. Termination must be given in writing to support@cleanflow.no.
5.3 Termination for material breach
Either party may terminate the Agreement with immediate effect in the event of a material breach that is not remedied within 14 days of written notice.
5.4 Data upon termination
The Customer may export its data in CSV format for 30 days after the termination date of the Agreement. After this deadline, all of the Customer's data is deleted in accordance with section 7 of the Data Processing Agreement.
6. Customer obligations
The Customer shall:
- Use the System in accordance with applicable law and these Terms
- Not use the System for unlawful activity, distribution of malicious software, or to infringe the rights of third parties
- Keep login information confidential and notify CleanFlow immediately if unauthorized access is suspected
- Ensure that content uploaded to the System does not infringe the rights of third parties and is processed in accordance with applicable data protection law
- Keep contact details and payment information up to date
CleanFlow reserves the right to suspend access to the System if the Customer misuses the service or acts in breach of these Terms.
7. Intellectual property rights
CleanFlow owns all rights to the System, including source code, design, trademarks and other intellectual property.
The Customer retains all rights to its own data processed in the System. CleanFlow is not granted any right to use the Customer's data for its own purposes beyond what is necessary to deliver the services, cf. the Data Processing Agreement.
The Customer is granted a non-exclusive, non-transferable right to use the System during the subscription period.
8. Availability and support
8.1 Availability
CleanFlow aims for high availability of the System but gives no guarantee of uninterrupted or error-free access. Planned maintenance is announced with at least 24 hours' advance notice.
CleanFlow is not liable for downtime caused by circumstances outside CleanFlow's control, including failures at subcontractors (Supabase, Vercel, and others), internet issues, or force majeure.
8.2 Support
Support is provided in Norwegian by email to support@cleanflow.no. CleanFlow aims to respond to inquiries within the next business day. Support is provided on a best-effort basis and no guaranteed response time is given unless otherwise agreed in writing.
9. Limitation of liability
9.1 Limitation of liability for damages
CleanFlow's total liability towards the Customer is limited to the amount the Customer has actually paid to CleanFlow in the 12 months immediately preceding the event giving rise to the claim.
9.2 Excluded liability
CleanFlow is not liable for:
- Indirect losses, including loss of profit, loss of data, business interruption, or loss of anticipated savings
- Losses caused by the Customer's own actions, misuse of the System, or failure to comply with these Terms
- Losses caused by the actions of third parties or circumstances outside CleanFlow's reasonable control
9.3 Force majeure
Neither party is liable for a failure to perform caused by circumstances beyond the party's reasonable control, including natural disasters, war, strikes, government orders, pandemic, or failure of third-party infrastructure.
10. Confidentiality
The parties undertake to treat confidential information received from the other party in confidence and not disclose such information to third parties without the other party's prior written consent. The confidentiality obligation does not apply to information that is publicly known, received from a third party without a duty of confidentiality, or that a party is required to disclose by law or court order.
The confidentiality obligation applies during the term of the Agreement and for 3 years after its termination.
11. Privacy
Processing of personal data is governed by the Data Processing Agreement. CleanFlow's processing of personal data for its own purposes (e.g. invoicing and customer communication) is described in CleanFlow's privacy policy.
12. Reporting unlawful or infringing content
12.1 Acceptable use
The Customer and the Customer's Users must not upload, store, or share content in the System that is unlawful, infringes the intellectual property rights of third parties, is defamatory, discriminatory, threatening, or otherwise offensive. This includes, among other things, images, comments, documents, and other content added in connection with tasks, deviations, inspections, and training.
In the event of a breach of this section, CleanFlow may remove the content in question and, in the case of repeated or serious breaches, suspend or terminate the Customer's access to the System, cf. section 6.
12.2 Who may submit a notice
Rights holders, affected individuals, or others who believe that content in the System is unlawful or infringing may notify CleanFlow.
12.3 Notice requirements
To be processed, a notice must contain:
- The URL or other identification of the content in question
- A description of the legal basis for the notice (e.g. infringement of the Norwegian Copyright Act, defamation, or other unlawful content)
- Contact information for the person submitting the notice
- A good-faith statement that the information in the notice is accurate
Notices should be sent to abuse@cleanflow.no.
12.4 Our handling of the notice
CleanFlow assesses the notice within 2 business days of receipt. If the notice is well-founded, the content is removed or blocked. If not, the notice is rejected with a brief explanation. The user who uploaded the content is normally notified of the removal and its basis, unless this would conflict with the law or an ongoing investigation. CleanFlow keeps a log of notices received and how they were handled.
12.5 Counter-notice
A user who believes content was removed without legal grounds may submit a counter-notice to abuse@cleanflow.no explaining why the content is lawful. CleanFlow will assess the counter-notice and may reinstate the content if it is well-founded.
12.6 Legal basis
This section is designed in accordance with section 18 of the Norwegian Electronic Commerce Act (e-handelsloven), concerning exemption from liability upon removal of unlawful content following notice, and applicable provisions of the Norwegian Copyright Act (åndsverkloven) on the protection of copyright.
13. Changes to the Terms
CleanFlow may change these Terms with 30 days' written notice. Material changes to the Customer's detriment are notified with 60 days' advance notice. Continued use of the System after the notice period has expired is deemed acceptance of the amended Terms.
If the Customer does not accept the amended Terms, the Customer may terminate the Agreement with effect from the date the changes take effect, without the ordinary notice period.
14. Assignment
CleanFlow may assign its rights and obligations under the Agreement to a company within the same corporate group, or in connection with a merger or demerger, without the Customer's prior consent, provided this does not materially impair the Customer's rights.
The Customer may not assign its rights and obligations under the Agreement without CleanFlow's prior written consent.
15. Governing law and venue
The Agreement is governed by Norwegian law. Disputes shall be sought resolved amicably. If this does not succeed, the venue is Trøndelag District Court (Trøndelag tingrett).
